Željka Kerum Topalušić (39), nećakinja bivšega splitskoga gradonačelnika Željka Keruma na splitskom Općinskom sudu po treći je put oslobođena krivnje za nepokretanje stečaja nad tvrtkom "Kerum" d.o.o. čija je direktorica bila od 2012. do 2014. godine.

Po najnovijoj presudi sutkinje Marise Matić bivša direktorica oslobođena je krivnje da 19. studenoga 2012. svjesno nije podnijela prijedlog za otvaranje stečaja sukladno Stečajnom zakonu, iako je znala da je dužna to napraviti i da je firma prestala podmirivati svoje obveze vjerovnicima u razdoblju dužem od 60 dana, te da nije u mogućnosti redovito poslovati ni ispunjavati dospjele novčane obveze.

ODO Split ju je teretio svojom optužnicom i za kazneno djelo pogodovanja određenim vjerovnicima, jer su neke tvrtke i pojedinci kojima je firma "Kerum" bila dužna namirivani mimo očevidnika o redoslijedu plaćanja koji vodi FINA. Na taj su način bili oštećeni drugi vjerovnici koji su imali prioritet, smatrali su u ODO-u, a među njima je bila i država koja je potraživala više od 17 milijuna kuna. No, za to je djelo Kerum Topalušić u rujnu 2020. godine odlukom Županijskog suda u Osijeku pravomoćno oslobođena.

Dakle, što se tiče kaznenog djela povrede dužnosti u slučaju gubitka, prezaduženosti ili nesposobnosti za što joj se ponovno sudilo, sutkinja Matić i dalje je ostala vjerna svojim ranijim presudama i obrazloženjima smatrajući da se ovdje radi o beznačajnom djelu.

– Po mišljenju suda, donošenjem Zakona o predstečajnoj nagodbi obveza pokretanja stečajnog postupka nije apsolutna kao što je to bilo prije stupanja na snagu Zakona. Sud smatra da egzistiraju uvjeti za primjenu instituta beznačajnog djela jer navedeni Zakon sasvim sigurno pruža legitimno pravo poduzetnicima u poteškoćama da umjesto stečaja izaberu ovaj način mogućeg rješenja problema – uz ostalo je obrazložila sutkinja Matić.

Sama bivša direktorica u to vrijeme jednog od najvećih trgovačkih lanaca u Dalmaciji u svojoj je obrani rekla kako je ona 10. rujna 2012., dva mjeseca prije nego što je se tereti da bi počinila kazneno djelo, postala odgovorna osoba "Kerum" d.o.o. te da je prema njezinim tadašnjim saznanjima još 30. kolovoza 2012. tvrtka "Lola Ribar" predala zahtjev za otvaranjem stečajnog postupka nad "Kerum" d.o.o. pred Trgovačkim sudom u Splitu. No, stečaj nije otvoren jer su u međuvremenu podmirili to dugovanje te potrebe za stečajem nije bilo.

– Blokada računa nastupila je 27. kolovoza 2012. od strane Hypo Alpe-Adria-Bank d.d. zato jer je "Kerum" d.o.o. bio jamac tvrtki "Adriatik" d.d. za kredit. Kad sam preuzimala funkciju nisam bila svjesna kakvo je stanje tvrtke iako sam bila upoznata da je račun blokiran. Osobno sam donosila sve poslovne odluke, a prijedlog za stečaj nisam podnijela zato jer su u međuvremenu počeli pregovori prema vjerovnicima i podmirivanje obveza, pa su prijedlozi za otvaranje stečaja koje su vjerovnici podnosili u međuvremenu bili povučeni. To je bio osnovni razlog zašto nisam pokrenula stečaj – kazala je, uz ostalo, okrivljena u svojoj obrani.

Rekla je i da su druge firme, a ne "Kerum" d.o.o., podmirile obveze prema vjerovnicima koji su podnijeli prijedlog za otvaranje stečajnog postupka te da je tada vrijednost imovine "Kerum" d.o.o. bila veća od potraživanja koje su vjerovnici imali prema njima, pa je zato smatrala da se ova dugovanja mogu podmiriti.

– Odmah nakon što je 2012. godine donesen Zakon o predstečajnim nagodbama mi smo predali zahtjev za otvaranjem predstečajne nagodbe s vrlo konkretnim planom da se ponovno proširimo u smjeru trgovine, tako da prodajom nekretnina koje je "Kerum" d.o.o. tada imao u vlasništvu, ponovno otvorimo trgovine za prodaju robe i na taj način pomalo otplaćujemo dug. Nažalost, to nismo uspjeli realizirati, a ni danas ne znam što je pošlo krivo i zašto se to nije dogodilo, s obzirom na to da je plan bio konkretan i u to doba vrlo realan – rekla je bivša direktorica.

Željka Kerum Topalušić (39), nećakinja bivšega splitskoga gradonačelnika Željka Keruma na splitskom Općinskom sudu po treći je put oslobođena krivnje za nepokretanje stečaja nad tvrtkom "Kerum" d.o.o. čija je direktorica bila od 2012. do 2014. godine.

Po najnovijoj presudi sutkinje Marise Matić bivša direktorica oslobođena je krivnje da 19. studenoga 2012. svjesno nije podnijela prijedlog za otvaranje stečaja sukladno Stečajnom zakonu, iako je znala da je dužna to napraviti i da je firma prestala podmirivati svoje obveze vjerovnicima u razdoblju dužem od 60 dana, te da nije u mogućnosti redovito poslovati ni ispunjavati dospjele novčane obveze.

ODO Split ju je teretio svojom optužnicom i za kazneno djelo pogodovanja određenim vjerovnicima, jer su neke tvrtke i pojedinci kojima je firma "Kerum" bila dužna namirivani mimo očevidnika o redoslijedu plaćanja koji vodi FINA. Na taj su način bili oštećeni drugi vjerovnici koji su imali prioritet, smatrali su u ODO-u, a među njima je bila i država koja je potraživala više od 17 milijuna kuna. No, za to je djelo Kerum Topalušić u rujnu 2020. godine odlukom Županijskog suda u Osijeku pravomoćno oslobođena.

Dakle, što se tiče kaznenog djela povrede dužnosti u slučaju gubitka, prezaduženosti ili nesposobnosti za što joj se ponovno sudilo, sutkinja Matić i dalje je ostala vjerna svojim ranijim presudama i obrazloženjima smatrajući da se ovdje radi o beznačajnom djelu.

– Po mišljenju suda, donošenjem Zakona o predstečajnoj nagodbi obveza pokretanja stečajnog postupka nije apsolutna kao što je to bilo prije stupanja na snagu Zakona. Sud smatra da egzistiraju uvjeti za primjenu instituta beznačajnog djela jer navedeni Zakon sasvim sigurno pruža legitimno pravo poduzetnicima u poteškoćama da umjesto stečaja izaberu ovaj način mogućeg rješenja problema – uz ostalo je obrazložila sutkinja Matić.

Sama bivša direktorica u to vrijeme jednog od najvećih trgovačkih lanaca u Dalmaciji u svojoj je obrani rekla kako je ona 10. rujna 2012., dva mjeseca prije nego što je se tereti da bi počinila kazneno djelo, postala odgovorna osoba "Kerum" d.o.o. te da je prema njezinim tadašnjim saznanjima još 30. kolovoza 2012. tvrtka "Lola Ribar" predala zahtjev za otvaranjem stečajnog postupka nad "Kerum" d.o.o. pred Trgovačkim sudom u Splitu. No, stečaj nije otvoren jer su u međuvremenu podmirili to dugovanje te potrebe za stečajem nije bilo.

– Blokada računa nastupila je 27. kolovoza 2012. od strane Hypo Alpe-Adria-Bank d.d. zato jer je "Kerum" d.o.o. bio jamac tvrtki "Adriatik" d.d. za kredit. Kad sam preuzimala funkciju nisam bila svjesna kakvo je stanje tvrtke iako sam bila upoznata da je račun blokiran. Osobno sam donosila sve poslovne odluke, a prijedlog za stečaj nisam podnijela zato jer su u međuvremenu počeli pregovori prema vjerovnicima i podmirivanje obveza, pa su prijedlozi za otvaranje stečaja koje su vjerovnici podnosili u međuvremenu bili povučeni. To je bio osnovni razlog zašto nisam pokrenula stečaj – kazala je, uz ostalo, okrivljena u svojoj obrani.

Rekla je i da su druge firme, a ne "Kerum" d.o.o., podmirile obveze prema vjerovnicima koji su podnijeli prijedlog za otvaranje stečajnog postupka te da je tada vrijednost imovine "Kerum" d.o.o. bila veća od potraživanja koje su vjerovnici imali prema njima, pa je zato smatrala da se ova dugovanja mogu podmiriti.

– Odmah nakon što je 2012. godine donesen Zakon o predstečajnim nagodbama mi smo predali zahtjev za otvaranjem predstečajne nagodbe s vrlo konkretnim planom da se ponovno proširimo u smjeru trgovine, tako da prodajom nekretnina koje je "Kerum" d.o.o. tada imao u vlasništvu, ponovno otvorimo trgovine za prodaju robe i na taj način pomalo otplaćujemo dug. Nažalost, to nismo uspjeli realizirati, a ni danas ne znam što je pošlo krivo i zašto se to nije dogodilo, s obzirom na to da je plan bio konkretan i u to doba vrlo realan – rekla je bivša direktorica.

Željka Kerum Topalušić (39), nećakinja bivšega splitskoga gradonačelnika Željka Keruma na splitskom Općinskom sudu po treći je put oslobođena krivnje za nepokretanje stečaja nad tvrtkom "Kerum" d.o.o. čija je direktorica bila od 2012. do 2014. godine.
