Poznati poduzetnički par iz Podravine vodi žestoku pravnu bitku na sudu za imovinu nakon što je supruga 2018. godine pokrenula postupak rastave braka, piše Danica.

Muž je dotad bio stopostotni vlasnik uspješne tvrtke, a supruga direktorica. No, nakon pokretanja razvoda svoj vlasnički udjel u cijelosti prodaje zaposlenici tvrtke koja se odmah imenuje direktoricom te smjenjuje vlasnikovu suprugu i postavlja sebe na to mjesto.

Vrijedan poslovni udjel vlasnik je zaposlenici prodao za samo 10.000 kuna, pa supruga smatra kako je i to dokaz nelegalnog pravnog posla, odnosno pokušaja da se ta imovina izvuče iz bračne stečevine.

Supruga je tužbom zatražila da se ugovor o prijenosu poslovnog udjela potpisan u travnju 2018. godine, kojim je njezin muž zaposlenici prodao tvrtku, proglasi ništetnim te da je “tužena dužna trpjeti da se izravno na temelju presude tužiteljica upiše kao ovlaštenik na jednoj polovini poslovnog udjela”.

‘Supruga je domaćica’

“Ona je imala 18 godina kad se zaposlila u našoj obiteljskoj tvrtki te sam je prihvatila s obzirom na njezine godine i tretirala je kao člana obitelji. Sve dok nisam 2018. saznala za vezu između mojeg muža i nje, koja je navodno trajala godinama.

Tad sam pokrenula postupak razvoda braka, a moj muž je poslovni udjel u tvrtki prenio na svoju zaposlenicu”, naglasila je supruga.

Kaže kako je ranije bila predlagala i da suprug “podijeli firmu, odnosno da poslovne udjele prenese na djecu, s obzirom na to da je on bio u godinama jer su njihova djeca radila u toj firmi i izučili su zanat, te mu je to predložila u prisutnosti djece, no on je to odbio i rekao je da je firma samo njegova”.

Ipak, propisano je člankom Obiteljskog zakona pravo drugog bračnog druga na naknadu štete, zaključila je sutkinja

Suprug je u svojem iskazu opovrgnuo njezine optužbe da su on i zaposlenica bili ljubavnici. Kaže kako to uopće nije točno, a tvrtka je izgrađena isključivo njegovim znanjem i sposobnošću.

“Supruga je bila domaćica, brinula se o privatnim potrebama obitelji, odgajala djecu i takav njen doprinos bračnoj stečevini ne može se verificirati kako to ona traži jer njen doprinos bračnoj stečevini nije veći od jedne petine.

Osim toga, poslovni udio nije prenesen kako bi se supruga spriječila u ostvarenju svojih prava, već radi zaštite poslovanja tvrtke od štete koju svojim pričama ona potiče i da bi se poslovanje moglo nesmetano odvijati.

Nepravomoćna presuda

Nitko od članova obitelji nije bio zainteresiran za preuzimanje poslovanja tvrtke, a zaposlenica je godinama tu, sudjeluje u poslovanju društva od početka, kvalificirana je i kompetentna za vođenje društva jer ima fakultet te nema veze sa bračnom stečevinom”, odgovorio je suprug na tužbu, a prenosi Danica.

Sud mu je dao za pravo te odlučio kako nema pravnog osnova da se supruga upiše na vlasništvo koje je muž prodao svojoj zaposlenici. Ovotjedna presuda je nepravomoćna i supruga se na nju može žaliti, što će vjerojatno i učiniti.

“Iz provedenih dokaza sud je utvrdio da tužena u odnosu na ovo raspolaganje poslovnim udjelom ima svojstvo poštene treće osobe, jer njena radnja stjecanja poslovnog udjela u konkretnim okolnostima ne predstavlja zlouporabu prava ili nedopušteno stjecanje s njene strane.

Valja pri tome navesti, da dužnost tužene prilikom stjecanja poslovnog udjela nije bila utvrđivanje je li predmetni poslovni udjel vlastita imovina muža ili se radi o zajedničkoj imovini supružnika, tim više što je muž u sudskom registru bio upisan kao jedini član društva te nisu bile upisane nikakve zabilježbe.

Upravo zbog takvih slučajeva u kojima bi utvrđenje ništetnosti ugovora u odnosu na poštenog stjecatelja kao treće osobe dovelo do povrata onog što je ta treća osoba stekla, propisano je člankom Obiteljskog zakona pravo drugog bračnog druga na naknadu štete“, zaključila je sutkinja.

Poznati poduzetnički par iz Podravine vodi žestoku pravnu bitku na sudu za imovinu nakon što je supruga 2018. godine pokrenula postupak rastave braka, piše Danica.

Muž je dotad bio stopostotni vlasnik uspješne tvrtke, a supruga direktorica. No, nakon pokretanja razvoda svoj vlasnički udjel u cijelosti prodaje zaposlenici tvrtke koja se odmah imenuje direktoricom te smjenjuje vlasnikovu suprugu i postavlja sebe na to mjesto.

Vrijedan poslovni udjel vlasnik je zaposlenici prodao za samo 10.000 kuna, pa supruga smatra kako je i to dokaz nelegalnog pravnog posla, odnosno pokušaja da se ta imovina izvuče iz bračne stečevine.

Supruga je tužbom zatražila da se ugovor o prijenosu poslovnog udjela potpisan u travnju 2018. godine, kojim je njezin muž zaposlenici prodao tvrtku, proglasi ništetnim te da je “tužena dužna trpjeti da se izravno na temelju presude tužiteljica upiše kao ovlaštenik na jednoj polovini poslovnog udjela”.

‘Supruga je domaćica’

“Ona je imala 18 godina kad se zaposlila u našoj obiteljskoj tvrtki te sam je prihvatila s obzirom na njezine godine i tretirala je kao člana obitelji. Sve dok nisam 2018. saznala za vezu između mojeg muža i nje, koja je navodno trajala godinama.

Tad sam pokrenula postupak razvoda braka, a moj muž je poslovni udjel u tvrtki prenio na svoju zaposlenicu”, naglasila je supruga.

Kaže kako je ranije bila predlagala i da suprug “podijeli firmu, odnosno da poslovne udjele prenese na djecu, s obzirom na to da je on bio u godinama jer su njihova djeca radila u toj firmi i izučili su zanat, te mu je to predložila u prisutnosti djece, no on je to odbio i rekao je da je firma samo njegova”.

Ipak, propisano je člankom Obiteljskog zakona pravo drugog bračnog druga na naknadu štete, zaključila je sutkinja

Suprug je u svojem iskazu opovrgnuo njezine optužbe da su on i zaposlenica bili ljubavnici. Kaže kako to uopće nije točno, a tvrtka je izgrađena isključivo njegovim znanjem i sposobnošću.

“Supruga je bila domaćica, brinula se o privatnim potrebama obitelji, odgajala djecu i takav njen doprinos bračnoj stečevini ne može se verificirati kako to ona traži jer njen doprinos bračnoj stečevini nije veći od jedne petine.

Osim toga, poslovni udio nije prenesen kako bi se supruga spriječila u ostvarenju svojih prava, već radi zaštite poslovanja tvrtke od štete koju svojim pričama ona potiče i da bi se poslovanje moglo nesmetano odvijati.

Nepravomoćna presuda

Nitko od članova obitelji nije bio zainteresiran za preuzimanje poslovanja tvrtke, a zaposlenica je godinama tu, sudjeluje u poslovanju društva od početka, kvalificirana je i kompetentna za vođenje društva jer ima fakultet te nema veze sa bračnom stečevinom”, odgovorio je suprug na tužbu, a prenosi Danica.

Sud mu je dao za pravo te odlučio kako nema pravnog osnova da se supruga upiše na vlasništvo koje je muž prodao svojoj zaposlenici. Ovotjedna presuda je nepravomoćna i supruga se na nju može žaliti, što će vjerojatno i učiniti.

“Iz provedenih dokaza sud je utvrdio da tužena u odnosu na ovo raspolaganje poslovnim udjelom ima svojstvo poštene treće osobe, jer njena radnja stjecanja poslovnog udjela u konkretnim okolnostima ne predstavlja zlouporabu prava ili nedopušteno stjecanje s njene strane.

Valja pri tome navesti, da dužnost tužene prilikom stjecanja poslovnog udjela nije bila utvrđivanje je li predmetni poslovni udjel vlastita imovina muža ili se radi o zajedničkoj imovini supružnika, tim više što je muž u sudskom registru bio upisan kao jedini član društva te nisu bile upisane nikakve zabilježbe.

Upravo zbog takvih slučajeva u kojima bi utvrđenje ništetnosti ugovora u odnosu na poštenog stjecatelja kao treće osobe dovelo do povrata onog što je ta treća osoba stekla, propisano je člankom Obiteljskog zakona pravo drugog bračnog druga na naknadu štete“, zaključila je sutkinja.

Poznati poduzetnički par iz Podravine vodi žestoku pravnu bitku na sudu za imovinu nakon što je supruga 2018. godine pokrenula postupak rastave braka, piše Danica.

Muž je dotad bio stopostotni vlasnik uspješne tvrtke, a supruga direktorica. No, nakon pokretanja razvoda svoj vlasnički udjel u cijelosti prodaje zaposlenici tvrtke koja se odmah imenuje direktoricom te smjenjuje vlasnikovu suprugu i postavlja sebe na to mjesto.

Vrijedan poslovni udjel vlasnik je zaposlenici prodao za samo 10.000 kuna, pa supruga smatra kako je i to dokaz nelegalnog pravnog posla, odnosno pokušaja da se ta imovina izvuče iz bračne stečevine.

Supruga je tužbom zatražila da se ugovor o prijenosu poslovnog udjela potpisan u travnju 2018. godine, kojim je njezin muž zaposlenici prodao tvrtku, proglas...
